Terms of Service

1. Who We Are

Shion Creator Console is an online tool provided by Luna Star Solutions, LLC, operating as Your Streaming Senpai, a Maryland, USA–based business.

The Service combines:

• An AI assistant ("Shion") that helps you with streaming and content strategy; and
• Integrations with third-party platforms such as YouTube (e.g., analytics data) to provide insights and recommendations.

2. Eligibility

To use the Service, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction);
• You have the legal power and authority to agree to these Terms; and
• If you use the Service on behalf of an organization, you are authorized to bind that organization to these Terms.

You may not use the Service if you are prohibited from doing so under applicable law.

3. Your Account

To access certain features, you must create an account using our authentication provider (such as Clerk) and/or sign in with a supported identity provider (e.g., Google).

You agree to:

• Provide accurate and up-to-date information during registration;
• Maintain the security of your login credentials; and
• Promptly notify us of any unauthorized use of your account.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts at our discretion if we believe these Terms have been violated or misuse is occurring.

4. Description of the Service

The Service may include, among other things:

• AI-powered chat and coaching (Shion) to help with streaming, content planning, and strategy;
• YouTube analytics integration, which allows Shion to read and summarize certain metrics from your connected YouTube channel(s);
• Tools to help you plan streams, videos, and content schedules;
• Educational content based on Your Streaming Senpai's methods (e.g., the "Senpai Streaming System").

The Service is provided on a beta basis and may change over time. Features may be added, modified, or removed at any time without notice.

We may also offer both a free tier with limited access and one or more paid subscription tiers with additional features or higher usage limits. Details of pricing and plans will be provided separately on the Platform or checkout pages.

5. AI Limitations & No Professional Advice

Shion is an AI system and may generate incorrect, incomplete, or outdated information.

You understand and agree that:

• The Service and Shion's responses are for informational and educational purposes only;
• We do not provide professional legal, financial, medical, or tax advice through the Service; and
• You are solely responsible for how you interpret and act on any information or suggestions from Shion.

You should independently verify important information (including analytics interpretations, business decisions, or strategy recommendations) before acting on it.

6. Integrations & Third-Party Services

The Service may integrate with third-party platforms and services, including but not limited to:

• Google / YouTube (e.g., YouTube Analytics, YouTube Data APIs);
• Authentication providers such as Clerk;
• Payment processors such as Stripe;
• Hosting providers such as Render;
• Communication platforms such as Discord.

When you connect a third-party account (for example, your YouTube channel), you authorize us to access, store, and process the data that service makes available to us, consistent with our Privacy Policy and the permissions you grant.

Your use of third-party services is also governed by their own terms and policies (e.g., Google's Terms of Service and Privacy Policy). We are not responsible for any third-party services or their actions. If you revoke access to a third-party integration (for example, disconnecting YouTube), certain features of the Service may stop working.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe or misappropriate any intellectual property, privacy, or other rights of others;
• Harass, abuse, or harm others;
• Attempt to gain unauthorized access to any accounts, systems, or networks;
• Reverse engineer, decompile, or attempt to extract source code from the Service;
• Circumvent or attempt to bypass any usage limits or access controls;
• Use Shion or the Platform to generate content that is illegal or that violates third-party terms (e.g., platform TOS for YouTube, TikTok, Twitch, etc.);
• Use automated scripts, bots, or scraping tools to access or interact with the Service in ways we have not authorized.

We may take any action we deem appropriate (including suspension or termination of accounts) if we believe our Acceptable Use terms are being violated.

8. User Content & License

"User Content" means any data, text, links, ideas, prompts, or other materials you input, upload, or submit to the Service, as well as any outputs generated for you based on that input.

You retain ownership of your User Content. However, you grant Luna Star Solutions, LLC d/b/a Your Streaming Senpai a worldwide, non-exclusive, royalty-free license to:

• Use, process, store, and display your User Content as necessary to provide, maintain, and improve the Service; and
• Use de-identified and aggregated forms of your User Content to analyze usage patterns, improve AI models, and develop new features.

We will not claim ownership of your YouTube channel or any underlying rights in your videos or assets. Our usage is limited to providing and improving the Service in line with our Privacy Policy.

You are responsible for ensuring you have all rights necessary to submit User Content and to grant the above license.

9. Paid Plans, Billing & Cancellations

This section applies when we offer paid plans or subscriptions (now or in the future).

• Pricing, features, and available plans will be described on the Platform or checkout pages.
• By subscribing, you authorize us and/or our payment processor (such as Stripe) to charge the applicable fees to your chosen payment method on a recurring basis (e.g., monthly or annually) until you cancel.
• Unless otherwise stated, subscriptions automatically renew at the end of each billing period, and you may cancel future renewals through your account settings or by contacting us before the next billing date.

Unless required by law or explicitly stated otherwise, fees paid are generally non-refundable.

We may change pricing and plan features from time to time. We will make reasonable efforts to notify you in advance of any price changes that affect your active subscription. If we are unable to process payment for your subscription, we may suspend or downgrade your access until payment is resolved.

10. Beta Features & Changes to the Service

Shion Creator Console is currently offered as a beta product. You understand and agree that:

• Features may be incomplete or experimental;
• The Service may contain bugs or experience downtime;
• We may add, modify, or remove features at any time.

We may also update or change these Terms from time to time. If we make material changes, we will provide notice (for example, via email, in-app notification, or updating the "Last updated" date above). Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

11. Intellectual Property

All rights, title, and interest in and to the Service, including but not limited to:

• Software, code, models, and AI systems;
• Designs, branding, logos, and trademarks (including "Your Streaming Senpai" and "Shion Creator Console");
• Text, graphics, and other content not provided by users;

are owned by Luna Star Solutions, LLC or our licensors and are protected by copyright, trademark, and other laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software.

12. Termination

You may stop using the Service at any time and may request account deletion in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service, with or without notice, if:

• You violate these Terms or our Acceptable Use rules;
• We believe your use of the Service poses a security risk or legal liability; or
• We discontinue the Service.

Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms, by their nature, will survive termination (including but not limited to intellectual property, disclaimers, limitations of liability, and governing law).

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

WITHOUT LIMITING THE FOREGOING, WE DO NOT MAKE ANY WARRANTIES THAT:

• The Service will be uninterrupted, timely, secure, or error-free;
• Any results or recommendations obtained through the Service will be accurate, reliable, or suitable for your particular purpose; or
• Errors or defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Luna Star Solutions, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR
• ANY LOSS OF PROFITS, REVENUE, DATA, OR USE;

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT ANY LIABILITY IS FOUND DESPITE THE FOREGOING, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
• ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Luna Star Solutions, LLC (Your Streaming Senpai) and its owners, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service;
• Your violation of these Terms; or
• Your violation of any rights of another person or entity.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, USA, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in Maryland, USA, and you consent to the personal jurisdiction of such courts.
